甲、乙雙方本著共同發(fā)展、互惠互利的原則,根據(jù)《民法典》的有關規(guī)定。經(jīng)雙方充分協(xié)商,就乙方品牌化妝品的代加工事宜達成如下協(xié)議,共同信守。

一、合作形式

1、甲方按照乙方要求生產(chǎn)化妝品,乙方為此向甲方支付

相關費用。在本合同有效執(zhí)行期間,甲方無權(quán)以任何形式銷售、出售乙方委托加工的產(chǎn)品。

2、加工內(nèi)容、規(guī)格、數(shù)量、價格、標的:

3、在合作過程中,甲方以oem的生產(chǎn)方式向乙方提供灌裝、包裝產(chǎn)品,乙方按約定的加工價格支付相關的費用。

4、生產(chǎn)及銷售文件的確認和使用:

4.1、在本合同正式簽訂同時,甲方向乙方提供營業(yè)執(zhí)照

副本復印件、生產(chǎn)許可證復印件、衛(wèi)生許可證復印件作為本合同附件。乙方向甲方提供其注冊商標、營業(yè)執(zhí)照、稅務登記證(國稅)、企業(yè)組織機構(gòu)代碼證等復印件。商標生產(chǎn)授權(quán)書,國家有關部門的商標注冊受理書,如因產(chǎn)品商標使用權(quán)等原因

的經(jīng)濟糾紛,其經(jīng)濟責任全部由乙方承擔,甲方不予以任何經(jīng)濟責任。

4.2、乙方在甲方處生產(chǎn)的產(chǎn)品,外包裝上必須注明甲方為生產(chǎn)商;并且由甲方所生產(chǎn)產(chǎn)品的最后包裝工序必須在甲方處實施完成。

4.3、甲方按乙方要求,負責辦理申請商品條形碼,相關的費用由乙方負責。

5、在合作之前,甲方需向乙方提供《采購訂單》中產(chǎn)品清單的樣版(半成品),待確認后方可生產(chǎn),化妝品質(zhì)量按照雙方確認樣版進行生產(chǎn)。如有不符,乙方有權(quán)拒收貨物。甲方保證乙方的產(chǎn)品穩(wěn)定性及安全性,如因產(chǎn)品質(zhì)量問題造成乙方損失的,甲方賠償質(zhì)量問題產(chǎn)品的成本損失(產(chǎn)品質(zhì)量指在甲方生產(chǎn)的半成品)

6、甲方向乙方提供“三證”。由于化妝品的獨有特性,甲方保證提供給乙方的產(chǎn)品完全與雙方確認樣板相同,但并不代表乙方的所有客戶使用該產(chǎn)品而不發(fā)生不良反應。如果乙方客戶在使用甲方所生產(chǎn)的某個產(chǎn)品后有超過5%顧客出現(xiàn)不良反映,乙方應立即告誡客戶暫停使用該種產(chǎn)品,在得到甲方確認之后,可以對乙方未售出和退回的產(chǎn)品進行免費換貨。但甲

方并不對乙方的客戶提供連帶賠償責任及賠償其他間接損失。使用方法不當或季節(jié)性及特殊地區(qū)多發(fā)過敏反應不在此列。

7.甲方提供的所有產(chǎn)品從封裝之日起,有三年的保質(zhì)期,在此日期之內(nèi),如果任何產(chǎn)品在按要求保存的情況下,未開封而出現(xiàn)變質(zhì)、封口泄漏問題,甲方負責免費更換。

二、產(chǎn)品生產(chǎn)質(zhì)量標準與檢驗

1、甲方對采購的所有原材料及包裝材料質(zhì)量負責。

2、甲方保證所代加工的產(chǎn)品質(zhì)量完全符合國家所頒布的行業(yè)質(zhì)量標準,同時符合在國家市級技術監(jiān)督局通過和備案的企業(yè)生產(chǎn)標準。

3、乙方可以在現(xiàn)場對每批產(chǎn)品進行抽檢,但甲方質(zhì)檢責任人必須同時在現(xiàn)場。

4、如因市場銷售和行業(yè)監(jiān)管需要委托xx市技術監(jiān)督局或者xx市衛(wèi)生監(jiān)督所進行抽檢的,甲方協(xié)助乙方辦理,檢驗費用由乙方承擔。

5、雙方同意以xx市xx區(qū)技術監(jiān)督局的產(chǎn)品檢驗報告為每批次產(chǎn)品質(zhì)量的最終結(jié)論。

6、經(jīng)雙方判定,因甲方責任導致產(chǎn)品退貨,甲方進行返工時,需經(jīng)乙方簽字確認后方可對包材再利用,因包材不可再利用所產(chǎn)生的包材損失由甲方承擔。

7、乙方自行保管不當引致的產(chǎn)品質(zhì)量問題,由乙方負責,與甲方無關。

三、生產(chǎn)物料損耗

1、在整個生產(chǎn)工藝流程中,甲方保證半制品和各種包裝材料使用損耗控制在%以下;低值易耗品(如不干膠、封條等)損耗控制在%以下。超出以上指標部分,費用由甲方承擔。

2、甲方在生產(chǎn)完畢該批產(chǎn)品后,必須將生產(chǎn)過程中所發(fā)生的報廢物料完整地匯報給乙方。

四、費用組成和結(jié)算方式

1、甲方按乙方《采購訂單》進行生產(chǎn)。相關的生產(chǎn)費用,乙方按當時的《采購訂單》規(guī)定及時核對和支付產(chǎn)品加工的款項。在執(zhí)行每批次的生產(chǎn)訂單之前,乙方須按訂單支付費用總額的%作為定金,發(fā)貨前付清尾款%。

五、倉儲

1、1、乙方如在廣州設立有獨立的倉庫儲存包裝材料和成品,由乙方負責委派專人管理。

2、乙方負責將生產(chǎn)所需的所有包輔材料運至甲方倉庫。甲方提供:在每批次生產(chǎn)過程中,甲方為乙方提供成品天、包裝材料天為周期的免費倉儲保管(遇節(jié)假日順延)。

3、若超出免費倉儲保管期,甲方按占地面積每平方米每月元的價格向乙方收取倉儲費用。該費用需在乙方支付當期貨款時一起支付給甲方。

六、交貨期限、地點和方式

1、交貨期限:甲方收到乙方定金(配套的物料備齊)后天內(nèi)。

2、交貨地點:甲方倉庫

3、交貨方式:甲方為乙方代辦運輸,相關費用由乙方負擔。

六、甲方違約責任

1、合作期間甲方不得以任何形式銷售、贈送給乙方以外的任何第三方所代加工的乙方化妝品,一經(jīng)發(fā)現(xiàn),甲方應將所有銷售款項支付給乙方。

2、甲方未經(jīng)乙方同意,不得更改產(chǎn)品的配方和檢驗標準,如擅自更改配方及檢驗標準,甲方將按照該品種更改后所有生產(chǎn)量的全額賠付;若乙方同意更改,則應當按質(zhì)論價,重新核定。

七、乙方違約責任

1、乙方未經(jīng)甲方同意,不得使用甲方“三證”及商品條

形碼于非甲方生產(chǎn)的產(chǎn)品上,否則,由此而造成的任何損失均由乙方承擔,甲方有權(quán)追究乙方一切法律責任。

2、乙方如中途變更產(chǎn)品或包裝物數(shù)量、規(guī)格、質(zhì)量的,

應提前天書面通知甲方,否則由此造成的損失由乙方全權(quán)承擔。

3、乙方不得無故拒收甲方按照乙方定單加工的經(jīng)國家行

業(yè)質(zhì)量標準檢驗合格的產(chǎn)品,否則因此而造成的經(jīng)濟損失由乙方全額賠償。

4、乙方超出規(guī)定本合同第四條約定,未向甲方支付相關

貨款的,則每逾期一天,按未付款部分總額的%向甲方支付滯

納金。

八、質(zhì)量責任約定

1、甲方生產(chǎn)的產(chǎn)品在保質(zhì)期內(nèi)原包裝未開封情況下變質(zhì),通過與留樣對照,確認為產(chǎn)品配方和生產(chǎn)過程人為因素造成,則甲方無條件進行返工,直至合格并賠償乙方的相關運輸費用。

2、因乙方指定使用特殊添加成份,而引起產(chǎn)品內(nèi)容物中

形成結(jié)晶或顏色變化或消費者使用投訴,由乙方自行承擔責任。

3、甲方檢驗已判定產(chǎn)品所使用包裝物、包裝方式、文字

說明等為不合格品時,乙方堅持使用,須由乙方負責人簽字認可,由此產(chǎn)生的一切質(zhì)量問題,均與甲方無關。

九、其他未盡事宜約定

1、甲乙雙方均應遵守國家有關化妝品質(zhì)量、包裝標示、

宣傳管理等一切法規(guī),一方違規(guī),另一方均有權(quán)提出終止合作,并由違規(guī)方承擔一切責任。

2、使用甲方“三證”的產(chǎn)品、包裝,乙方應在包裝印刷

之前讓甲方進行審核、確認。

3、超出雙方合作確認《采購訂單》以外的產(chǎn)品,乙方使

用了甲方的證件,甲方將視為假冒產(chǎn)品,追究乙方法律責任及連帶責任。

4、合作加工的乙方化妝品,在市場銷售過程中出現(xiàn)一切

問題雙方均應及時溝通,相互協(xié)商,根據(jù)已有的約定分清責任,在處理過程中雙方應緊密協(xié)作。

5、經(jīng)甲乙雙方協(xié)商確認的交貨時間,甲方必須滿足。如

果不能滿足,乙方有權(quán)另擇加工廠,并追究甲方相應違約責任,并有權(quán)將印有甲方三證的包材量全部用完。經(jīng)甲乙雙方協(xié)商確認的結(jié)款方式,乙方必須遵守,如不能實現(xiàn),甲方有權(quán)拒絕出貨,并追究乙方相應違約責任。

十、本合同如有未盡事宜,雙方協(xié)商解決。如協(xié)商不成,則將所爭議事項提交甲方所在地仲裁委員會仲裁。

十一、其他未盡內(nèi)容可協(xié)商增加《合同附件》,增加的《合同附件》與此《odm委托加工合同》享有同等法律效力。

十二、本合同有效期自________年____月____日起至________年____月____日止。

十三、合同生效:本合同自雙方當事人簽名蓋章生效,

tian’anmen( the gate of heavenly peace), is located in the center ofbeijing. it was first built in 1417 and named chengtianmen( the gate of heavenlysuccession). at the end of the ming dynasty, it was seriously damaged by it was rebuilt under the qing in 1651, it was renamed tian’anmen, andserved as the main entrance to the imperial city, the administrative andresidential quarters for court officials and retainers. the southern sections ofthe imperial city wall still stand on both sides of the gate. the tower at thetop of the gate is nine-room wide and five –room deep. according to the book ofchanges, the two numbers nine and five, when combined, symbolize the supremestatus of a sovereign.

during the ming and qing dynasties, tian’anmen was the place where stateceremonies took place. the most important one of them was the issuing ofimperial edicts, which followed these steps:

1) the minister of rites would receive the edict in taihedian( hall ofsupreme harmony), where the emperor was holding his court. the minister wouldthen carry the decree on a yunpan( tray of cloud), and withdraw from the hallvia taihemen( gate of supreme harmony)

2) the minister would put the tray in a miniature longting( dragonpavilion). beneath a yellow umbrella and carry it via wumen( meridian gate), totian’anmen gate tower.

3) a courtier would be invested to proclaim the edict. the civil andmilitary officials lining both sides of the gateway beneath the tower wouldprostrate themselves in the direction of the emperor in waiting for the decreeto the proclaimed.

4) the courtier would then put the edict in a phoenix-shaped wooden box andlower it from the tower by means of a silk cord. the document would finally becarried in a similar tray of cloud under a yellow umbrella to the ministry ofrites.

5) the edict, copied on yellow paper, would be made known to the wholecountry.

such a process was historically recorded as “ imperial edict issued bygolden phoenix”.

during the ming and qing dynasties tian’anmen was the most importantpassage. it was this gate that the emperor and his retinue would go through ontheir way to the altars for ritual and religious activities.

on the westside of tian’anmen stands zhongshanpark( dr. sun yat-sen’spark), and on the east side, the working people’s cultural palave. the park wasformerly called shejitan( altar of land and grain), built in 1420 for offeringsacrificial items to the god of land. it was opened to the public as a park in1914 and its name was changed in 1928 to the present one in memory of the greatpioneer of the chinese democratic revolution.

the working people’s cultural palace used to be taimiao( the supremeancestral temple), where tablets of the deceased dynastic rulers were kept.

the stream in front of tian’anmen is called waijinshuihe( outer goldenriver),with seven marble bridges spanning over it . of these sevenbridges,historical records say the middle one was for the exclusive use of theemperor and was accordingly called yuluqiao( imperial bridge). the bridgesflanking it on either side were meant for the members of the royal family andwere therefore called wanggongqiao( royal’s bridges). farther away on each sideof the two were bridges for officials ranking above the third order and werenamed pinjiqiao( ministerial bridges). the remaining two bridges were for theuse by the retinue below the third order and wre called gongshengqiao( commonbridges). they anr the one in front of the supreme ancestral temple to the eastand the one in front of the altar of land and grain to the west.

the two stone lions by the gate of tian’anmen, one on each side were meantas sentries. they gaze toward the middle axis, guarding the emperor’s front of the gate stands a pair of marble columns called huabiao. they areelaborately cut in bas-relief following the pattern of a legendary the gate stands another pair of similar columns. the story of huabiao maybe traced to a couple of sources. one of the versions accredits its invention toone of the chinese sage kings named yao, who was said to have set up a woodenpillar in order to allow the ordinary people to expose evil-doers, hence it wasoriginally called a slander pillar. later it ws reduced to a signpost, and nowit serves as an ornament.

the beast sitting on the top of the column is called” hou”, a legendaryanimal, which is said to have been a watcher of an emperor’s behaviour. he wasdoing such duties as warning the emperor against staying too long outside thepalace or indulging in pleasure and urging him to go to the people for theircomplaints or return in due time. therefore, the two pairs of beasts were giventhe names” wangjunhui”( expecting the emperor’s coming back) and “ wangjunchu”(expecting the emperor’s going out) respectinvely.

on october 1, 1949, chairman mao zedong proclaimed on tian’anmen rostrumthe founding of the people’s republic of china. since then tian’anmen has beenthe symbol of new chine\a. chairman mao’s portrait is hung above the centralentrance, flanked by two slogans:” long live the great unity of the peoples ofthe world”. today , the splendour of tian’anmen attracts million of visitorsfrom all over the world. the rostrum on its top was opened in 1988 to the publicfor the first time in its history. it offers a panoramic view of the square andthe city proper.

3.甲方對軟件進行不斷的升級,保證軟件的先進適用性,并提供給乙方及其客戶;

4.甲方對軟件屬于編程上的錯誤或缺陷,無償進行更改并提供改好軟件給乙方及其客戶;

5.對于乙方提供的軟件功能或其他方面的合理化建議,甲方認可后對軟件進行升級,無償進行更改并提供升級軟件給乙方及其客戶

6.對于乙方要求甲方對軟件進行更改或功能擴充,雙方進行協(xié)商,乙方需向甲方支付一定的費用,甲方在最快時間內(nèi)對軟件進行修改并提供給乙方;

4.乙方可自行設定oem產(chǎn)品的直接用戶價;

5.乙方可要求甲方對乙方進行上門技術支持和服務,但所需費用由乙方承擔;

6.乙方必須盡力推廣oem產(chǎn)品,并及時支付款項;

7.乙方單位已不存在或變動,必須盡快告知甲方;

8.乙方未經(jīng)甲方同意不得修改所代理的軟件或?qū)浖M行解密或反編譯、進行非法銷售等。

第三條協(xié)議期限

第四條協(xié)議解除、終止及違約責任

(2)甲方作為乙方的oem商,雙方簽訂該協(xié)議后一個月之內(nèi),首期定貨量不得少于_________套。

(3)甲方作為乙方的oem商,可在該系數(shù)字辦公應用產(chǎn)品享受市場報價_________折的優(yōu)惠價格。

三、付款方式

甲方須以轉(zhuǎn)賬方式將各種費用支付至乙方指定銀行賬戶,乙方不接受現(xiàn)金付款。如甲方以現(xiàn)金支付或未將款項支付至乙方銀行指定賬戶,導致乙方未收到款,視同甲方未支付。

四、合作關系

協(xié)議期限到期前30天,甲乙雙方共同商量續(xù)約的條件,對oem商資格的認定以__________________軟件的合同認定為準。

發(fā)生以下情況,__________________軟件有權(quán)立即終止合作關系,并保留對甲方依法追究責任的權(quán)利:

(1)盜版任何__________________軟件產(chǎn)品。

(2)oem商發(fā)生了債權(quán)轉(zhuǎn)讓,申請破產(chǎn),被宣判破產(chǎn)等行為或同等行為,在30天內(nèi)沒有得到有效補救。

(3)違反了協(xié)議中的其他條款。

oem商和__________________軟件是相互獨立的法人,彼此不對對方負連帶責任。

五、軟件培訓

在簽定協(xié)議后,oem商自愿參加由乙方提供的技術培訓和銷售培訓,地點在乙方公司。oem商自行承擔培訓人員的交通和食宿費用,乙方承擔培訓費用。通過培訓乙方應能讓甲方相關的銷售和技術人員獨立解決軟件日常應用中的問題。

乙方將定期向甲方提供銷售培訓和技術維護培訓,也向甲方提供同類產(chǎn)品升級版本的相關培訓,同時甲方也可免費參加其他培訓課程。

六、技術支持

oem商可得到以下免費技術支持:免費得到乙方在線技術支持(包括電話,internet方式);

oem商可得到以下收費技術支持:乙方可向甲方提供800元每天現(xiàn)場收費支持(時間算法為:技術支持人員從公司領單出門至甲方現(xiàn)場技術支持結(jié)束并簽字認可為止,同時oem可享受該收費標準的8折優(yōu)惠);最終客戶相關的技術支持應由甲方承擔,若遇有重大技術問題,乙方也可派技術人員進行現(xiàn)場支持,收費標準同上。

七、權(quán)利和義務

(1)若甲乙雙方因為某些原因終止合作關系時,甲方負責完成其在終止日前發(fā)生的訂購合同。乙方負責繼續(xù)提供技術支持和售后服務給甲方產(chǎn)品的最終用戶。

(2)乙方不承擔由于甲方實施系統(tǒng)(1.設備故障2.系統(tǒng)不兼容3.病毒4.系統(tǒng)內(nèi)部錯誤)問題引起的任何第三方損失

(3)乙方應向甲方提供有力的技術支持和銷售支持(如:安裝培訓,技術支持培訓,產(chǎn)品手冊,媒體廣告,網(wǎng)站宣傳等)。

(4)乙方不承擔任何由于自然災害,戰(zhàn)爭,政府行為,罷工等不可抗力所引起的損失。

八、爭議解決條款

本協(xié)議在履行中如發(fā)生爭議,雙方應協(xié)商解決;協(xié)商不成時,任何一方均可在相關部門申請調(diào)解和仲裁。
