(19) 不可抗力：賣方對(duì)由于下列原因而導(dǎo)致不能或暫時(shí)不能履行全部或部分合同義務(wù)的，不負(fù)責(zé)任：水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或其他任何在簽約時(shí)賣方不能預(yù)料、無(wú)法控制且不能避免和克服的事件。但賣方因盡快地將所發(fā)生的事件通知對(duì)方，并應(yīng)在事件發(fā)生后15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。如果不可抗力事件之影響超過(guò)120天，雙方應(yīng)協(xié)商合同繼續(xù)履行或終止履行的事宜。

(20) 仲裁：因履行本合同所發(fā)生的一切爭(zhēng)議，雙方應(yīng)友好協(xié)商解決，如協(xié)商仍不能解決爭(zhēng)議，則應(yīng)將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)（北京），依據(jù)其仲裁規(guī)則仲裁。仲裁裁決是終局的，對(duì)雙方都有約束力。仲裁費(fèi)應(yīng)由敗訴一方承擔(dān)，但仲裁委員會(huì)另有裁定的除外。在仲裁期間，除仲裁部分之外的其他合同條款應(yīng)繼續(xù)執(zhí)行。
