10.傭金

對乙方直接獲取并經(jīng)甲方確認(rèn)接受的訂單，甲方按凈發(fā)票售價向乙方支付5％的傭金。 傭金在甲方收到每筆訂單的全部貨款后才會支付。

11.政府部門間的交易

在甲、乙雙方政府部門之間達(dá)成的交易不受本協(xié)議條款的限制，此類交易的金額也不應(yīng)計入第五條規(guī)定的最低業(yè)務(wù)量。

12.工業(yè)產(chǎn)權(quán)

7.市場情況報告（reports on market conditions）

乙方每3個月向甲方提供一次有關(guān)當(dāng)時市場情況和用戶意見的詳細(xì)報告。同時，乙方應(yīng)隨時向甲方提供其他供應(yīng)商的類似商品樣品及其價格、銷售情況和廣告資料。

8.宣傳廣告費(fèi)用（advertising & publicity expenses）

在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)所作廣告宣傳的一切費(fèi)用，由乙方自理。乙方須事先向甲方提供宣傳廣告的圖案及文字說明，由甲方審閱同意。

9.協(xié)議有效期（validity of agreement）

本協(xié)議經(jīng)雙方簽字后生效，有效期為_________天，自_________年_________月_________日至_________年_________月_________日。若一方希望延長本協(xié)議，則須在本協(xié)議期滿前1個月書面通知另一方，經(jīng)雙方協(xié)商決定。

第六條保險費(fèi)交付期限

乙方應(yīng)自收到保險費(fèi)48小時內(nèi)，將保險費(fèi)交付甲方。如最后24小時為節(jié)假日，則順延為節(jié)假日結(jié)束后的第一個工作日的甲方業(yè)務(wù)時間。

第七條代理手續(xù)費(fèi)支付標(biāo)準(zhǔn)和方式

甲方按照本合同訂立時執(zhí)行的手續(xù)費(fèi)標(biāo)準(zhǔn)向乙方支付代理手續(xù)費(fèi);

本合同有效期內(nèi)，甲方要對現(xiàn)行的代理手續(xù)費(fèi)標(biāo)準(zhǔn)進(jìn)行變更時，應(yīng)征得乙方或乙方推選的集體代表同意，并就協(xié)議一致的手續(xù)費(fèi)標(biāo)準(zhǔn)訂立集體合同，對乙方具有約束力。

本合同有效期內(nèi)，甲方因國家法律、法規(guī)、政策的原因。需要調(diào)整手續(xù)費(fèi)標(biāo)準(zhǔn)的，如調(diào)整后的標(biāo)準(zhǔn)是符合國家法律、法規(guī)、政策允許的最高限額的，可直接與乙方或乙方推選的代表訂立新的關(guān)于手續(xù)費(fèi)支付標(biāo)準(zhǔn)的集體合同，并對乙方具有約束力。如乙方不能認(rèn)可國家法律、法規(guī)、政策規(guī)定的手續(xù)費(fèi)標(biāo)準(zhǔn)，則本委托代理合同終止。

甲方支付乙方手續(xù)費(fèi)的依據(jù)是乙方于上月15日以后(含15日)至本月15日代理的至本月25日仍有效的代理權(quán)限內(nèi)的保險費(fèi)收入。

甲方于每月30日前在代為扣除乙方應(yīng)付稅款后支付乙方當(dāng)期手續(xù)費(fèi)收人。延期支付的，甲方應(yīng)支付利息。

第八條保證與擔(dān)保

第九條專屬代理

乙方不得代理其他保險公司的保險業(yè)務(wù)，也不得幫助其他保險公司及其代理人與甲方競爭。

第十條其他權(quán)利與義務(wù)

乙方應(yīng)遵循《保險法》及《保險代理人管理規(guī)定(試行)》等法律法規(guī)的規(guī)定，誠實(shí)代理，并保守甲方及客戶的商業(yè)秘密及個人隱私。

乙方應(yīng)按甲方的要求報告有關(guān)完成委托事項(xiàng)的情況。

第十一條合同的變更

本合同條款可以進(jìn)行變更。

甲方應(yīng)與乙方或乙方推選的代表就合同變更事宜進(jìn)行協(xié)商，達(dá)成一致意見后對本合同進(jìn)行變更。

甲方與乙方個人協(xié)商對合同進(jìn)行的變更，應(yīng)訂立補(bǔ)充合同;甲方與乙方推選的代表協(xié)商，對本合同所作的變更，對乙方所有成員有效，不能同意變更后事項(xiàng)的乙方個別成員，作解除合同處理。

關(guān)于合同的變更，本合同另有約定的除外。

第十二條合同的終止

本合同可因下列原因終止：

1.因本合同期限屆滿，甲方?jīng)Q定不再續(xù)延本合同;

2.甲方發(fā)生分立或合并，分立或合并后新的組織沒有承諾本合同繼續(xù)有效并承擔(dān)本合同甲方權(quán)利義務(wù)的;

3.乙方辭去委托或者甲方撤銷委托。乙方辭去委托時，不必取得甲方同意，但必須提前日通知甲方，如因辭去委托使甲方受到損失，乙方應(yīng)負(fù)賠償損失的責(zé)任;甲方撤銷委托時，不必取得乙方的同意，但應(yīng)支付乙方已代理業(yè)務(wù)的手續(xù)費(fèi)。如因撤銷委托使受托人受到損失，甲方應(yīng)負(fù)賠償損失的責(zé)任。

本合同終止時，甲方有權(quán)收回乙方持有的屬于甲方的單證、票據(jù)、業(yè)務(wù)資料、客戶資料以及其他物品;

本合同終止時，甲方有權(quán)要求乙方償還甲方為乙方支付的培訓(xùn)費(fèi)，合同另有約定的除外。

本合同終止時，甲方應(yīng)收回《展業(yè)證書》，退還乙方《保險代理人資格證書》，并在乙方歸還甲方的單證、票據(jù)、業(yè)務(wù)資料、客戶資料以及其他物品后，退還乙方保證金，如上述單證、資料、物品有缺失、毀損，應(yīng)相應(yīng)扣減保證金，并將保證金余額退還乙方;如保證金不足以補(bǔ)償以上損失的，可以在應(yīng)支付乙方的手續(xù)費(fèi)中扣除不足部分。

第十三條違約責(zé)任

乙方應(yīng)對在代理過程因本人過錯導(dǎo)致的第三人的損失承擔(dān)賠償責(zé)任;因乙方在代理過程因過錯導(dǎo)致的第三人的損失，甲方承擔(dān)賠償責(zé)任的，甲方履行賠償責(zé)任后，有向乙方追償?shù)臋?quán)利。

甲乙雙方因過錯給對方造成的損失，均應(yīng)承擔(dān)賠償責(zé)任。

本合同解除后，并不排除乙方在本合同有效期間因過錯行為應(yīng)承擔(dān)的賠償責(zé)任。

第十四條爭議處理

本合同履行過程中，雙方如發(fā)生爭議可協(xié)商解決。協(xié)商不成，可依法調(diào)解、仲裁或提出訴訟。

第十五條附則

乙方同意甲方制訂關(guān)于代理手續(xù)費(fèi)的規(guī)定和有關(guān)壽險代理員管理的辦法作為本合同的附件，附件修訂時，與甲方簽訂集體合同，并對乙方具有約束力。

乙方提供的擔(dān)保人與甲方簽訂的擔(dān)保合同，為本合同的附合同，本合同終止后，對乙方在本合同有效期間的行為的保證責(zé)任不當(dāng)然解除。

本合同經(jīng)甲方簽字蓋章，乙方親筆簽字，并在甲方收到乙方《保險代理人資格證書》原件、單證票據(jù)保證金、《擔(dān)保合同》后生效。

甲、乙雙方經(jīng)友好協(xié)商，就乙方代理甲方出口貨物一事，達(dá)成以下條款：

第一條代理協(xié)議的訂立：

(一)乙方代理甲方出口的貨物的狀況：

1、品名：_________

6、成交條件：以經(jīng)乙方確認(rèn)的、甲方與外商成交的條件為準(zhǔn)。

(二)代理協(xié)議的形式：協(xié)議的訂立及修改均需以書面形式(含傳真)，否則不發(fā)生效力。

(三)甲方義務(wù)：1、如實(shí)提供與訂立協(xié)議有關(guān)的主要事實(shí)和情況;

2、對本協(xié)議以及乙方根據(jù)本協(xié)議與國外買方簽訂的外銷合同的條款進(jìn)行充分的了解，對各方的權(quán)利義務(wù)，各方免除或者限制各自責(zé)任的條款有充分的注意。

(四)乙方義務(wù)：如實(shí)提供與訂立協(xié)議有關(guān)的主要事實(shí)和情況;第二條代理協(xié)議的執(zhí)行：乙方接受甲方的委托，與外商簽訂外銷合同，合同號為__________，此外銷合同為乙方代理甲方出口貨物的有效依據(jù)，

為本代理協(xié)議不可分割的一個部分。

(一)甲方的義務(wù)：1、對外銷合同承擔(dān)的義務(wù)：(1)承認(rèn)乙方代表甲方簽訂的外銷合同條款對\'賣方\'權(quán)利和義務(wù)的規(guī)定。

(2)收到乙方交來的外銷合同副本后，立即進(jìn)行核對。

如發(fā)現(xiàn)與其原要求有不符點(diǎn)，在收到合同后3個工作日內(nèi)以傳真或電報通知乙方。

否則，視為甲方已接受該外銷合同，承擔(dān)該外銷合同的權(quán)利和義務(wù)。

(3)未經(jīng)乙方同意，甲方不得自行就出口合同條款對外作任何形式的承諾，亦不得自行與外商變更或修改出口合同。

(4)甲方同意或默視同意的出口合同條款，甲方不得由于條款本身的缺陷引起的損失向乙方要求補(bǔ)償。

2、出口貨物：(1)甲方提供的貨物應(yīng)符合本協(xié)議規(guī)定的數(shù)量、質(zhì)量和規(guī)格，并須按照協(xié)議規(guī)定的方式進(jìn)行包裝。

(2)提供貨物的品質(zhì)證明文件。

(3)按乙方指令日期前將協(xié)議約定的全部貨物運(yùn)到______。

(4)向乙方提供增值稅專用發(fā)票和專用繳款書，協(xié)助乙方辦理出口所需手續(xù)。

3、費(fèi)用：(1)承擔(dān)乙方因代理出口產(chǎn)生的運(yùn)輸費(fèi)、商檢費(fèi)、港口運(yùn)雜費(fèi)、倉儲費(fèi)、報關(guān)費(fèi)、保險費(fèi)及銀行手續(xù)費(fèi)、寄單費(fèi)等所有有關(guān)費(fèi)用。

(2)根據(jù)實(shí)際出口貨物的數(shù)量計算總貨款，并根據(jù)此總貨款向乙方支付___%的代理費(fèi)。

(3)上述的費(fèi)用及代理費(fèi)需在代理協(xié)議簽訂后_____日內(nèi)交付。

(二)乙方義務(wù)：1、對外成交后，及時將外銷合同副本送交甲方。

2、辦理出口所需的商檢，報關(guān)，對外運(yùn)輸?shù)仁掷m(xù)，并對外議付。

3、根據(jù)外銷合同收到外商的付款后，在______個工作日內(nèi)按照付款當(dāng)日銀行公布的外匯買入價，將外匯折算成人民幣支付給甲方。

第三條違約責(zé)任：

(一)甲方必須嚴(yán)格執(zhí)行本協(xié)議：

因甲方未按協(xié)議規(guī)定履行義務(wù)，導(dǎo)致出口合同不能履行、不能完全履行、遲延履行或履行不符合約定條件的，委托方應(yīng)償付代理方為其墊付的費(fèi)用、稅金及利息，支付約定的代理費(fèi)，并承擔(dān)乙方因此對外承擔(dān)的一切責(zé)任。

當(dāng)外商提出索賠時，乙方應(yīng)及時向甲方轉(zhuǎn)交外商提供的索賠證件，甲方接到索賠證件后，應(yīng)根據(jù)出口合同和代理協(xié)議及時理賠。

乙方應(yīng)向甲方及時通報對外理賠情況。

如外商因索賠提出仲裁或訴訟時，乙方應(yīng)按出口合同和代理協(xié)議的規(guī)定及時應(yīng)訴，積極辦理對外交涉，并及時將進(jìn)程和結(jié)果通報甲方。

甲方有義務(wù)協(xié)助乙搜集證據(jù)，并最終承擔(dān)訴訟或仲裁結(jié)果和承擔(dān)由此而發(fā)生的一切費(fèi)用。

(二)乙方必須嚴(yán)格執(zhí)行本協(xié)議：

因乙方未按協(xié)議規(guī)定履行義務(wù)，導(dǎo)致出口合同不能履行、不能完全履行、遲延履行或履行不符合約定條件的，乙方應(yīng)賠償甲方因此受到直接經(jīng)濟(jì)損失，但不包括預(yù)期利潤。

(三)因外商原因?qū)е峦怃N合同延遲履行、不完全履行或不能履行時，使乙方不能履行本代理協(xié)議的，乙方不承擔(dān)責(zé)任。

但在甲方書面提出要求并提供費(fèi)用及協(xié)助下，

乙方有義務(wù)向外商交涉索賠，但所產(chǎn)生的費(fèi)用由甲方承擔(dān)。

第四條不可抗力甲方或乙方因不可抗力事件，不能履行全部或部分代理協(xié)議的，免除相互間的全部或部分責(zé)任，但雙方應(yīng)在得知不可抗力事件發(fā)生之日起______日內(nèi)通知對方，并提供有關(guān)機(jī)構(gòu)出具的證明，以便乙方與外商交涉，免除乙方對外商的責(zé)任。

第五條爭議解決：若產(chǎn)生爭議，雙方需友好協(xié)商，達(dá)成補(bǔ)充協(xié)議。

若協(xié)商不成，任何一方可向代理人所在地人民法院提起訴訟。

第六條附加條款：本協(xié)議一式兩份，具有同等的法律效力。

自協(xié)議雙方蓋章之日起實(shí)施。
