一、內(nèi)容和范圍

1.總則

4.乙方通過(guò)審查甲方提交的產(chǎn)品認(rèn)證申請(qǐng)書及相關(guān)材料;審核確認(rèn)甲方的質(zhì)量體系是否符合ccc/t032002《工廠產(chǎn)品質(zhì)量保證能力要求》;抽樣檢驗(yàn)產(chǎn)品是否符合ccc/g 《 認(rèn)證實(shí)施某》，以決定是否同意甲方取得或保持產(chǎn)品認(rèn)證注冊(cè)資格。

二、質(zhì)量體系審核和產(chǎn)品抽樣檢驗(yàn)

1.正式質(zhì)量體系審核時(shí)間擬定在______年______月份進(jìn)行，最終商定的審核時(shí)間，其偏離度不能超過(guò)一個(gè)月。(甲方如需預(yù)審核，希望審核時(shí)間在______年______月______日，預(yù)審核時(shí)間至少比正式審核時(shí)間提前一個(gè)月。)

2.甲方取得節(jié)能產(chǎn)品認(rèn)證注冊(cè)資格后，在 年有效期內(nèi)，乙方對(duì)甲方自獲證之日起每12個(gè)月進(jìn)行一次監(jiān)督檢查(包括監(jiān)督審核和監(jiān)督檢驗(yàn))。有異常情況時(shí)，酌情增加監(jiān)督檢查頻次。

3.用于某認(rèn)證檢驗(yàn)用的樣品由乙方派代表抽樣或由質(zhì)量體系審核組抽樣。

三、費(fèi)用及付費(fèi)時(shí)間

1.乙方按中國(guó)節(jié)能產(chǎn)品認(rèn)證管理委員會(huì)發(fā)布的《認(rèn)證收費(fèi)管理辦法》，對(duì)甲方在本合同有效期限內(nèi)的認(rèn)證申請(qǐng)(包括擴(kuò)大型號(hào)規(guī)格的認(rèn)證申請(qǐng))，按下列收費(fèi)標(biāo)準(zhǔn)收取相關(guān)階段某證費(fèi)用，收費(fèi)時(shí)，向甲方發(fā)出正式的《認(rèn)證收費(fèi)通知書》，甲方應(yīng)按《認(rèn)證收費(fèi)通知書》的要求及時(shí)向乙方繳納認(rèn)證費(fèi)用。

2.收費(fèi)標(biāo)準(zhǔn)：

a.申請(qǐng)費(fèi)：基本費(fèi)用______元/次，同次申請(qǐng)，每增加一個(gè)認(rèn)證單元增收______元。

b.標(biāo)準(zhǔn)確認(rèn)費(fèi)：______元(企業(yè)標(biāo)準(zhǔn)需要確認(rèn)時(shí))。

5.付費(fèi)時(shí)間

b.質(zhì)量體系審核費(fèi)應(yīng)于某前15天由甲方一次性支付給乙方。

c.審定與注冊(cè)費(fèi)和第一年的年金應(yīng)在頒發(fā)證書前由甲方一次性支付給乙方。

d.年度質(zhì)量體系監(jiān)督審核費(fèi)應(yīng)于某體系監(jiān)督審核前一個(gè)月由甲方一次性支付給乙方。

e.每年的年金隨年度質(zhì)量體系監(jiān)督審核費(fèi)一并交納乙方。

f.產(chǎn)品檢驗(yàn)費(fèi)(包括年度監(jiān)督檢驗(yàn)費(fèi))在產(chǎn)品送樣時(shí)，由甲方一次性支付給指定的檢驗(yàn)機(jī)構(gòu)。收費(fèi)標(biāo)準(zhǔn)按國(guó)家有關(guān)規(guī)定。

6.其它

獲證產(chǎn)品公告費(fèi)按實(shí)際支出另行收取。

審核/抽樣人員執(zhí)行審核/抽樣任務(wù)所發(fā)生的差旅費(fèi)，食宿費(fèi)按實(shí)際支出由甲方支付。

四、甲方的責(zé)任和義務(wù)

1.在產(chǎn)品認(rèn)證實(shí)施某段某按認(rèn)證活動(dòng)進(jìn)展情況或乙方通知，向乙方提交有關(guān)文件和資料或進(jìn)行必要的工作。

2.在實(shí)施某認(rèn)證時(shí)，應(yīng)提供至少三個(gè)月的質(zhì)量體系運(yùn)行的有效證據(jù)。

3.認(rèn)證活動(dòng)開始前，應(yīng)向乙方明確甲方的保密要求和特殊要求。

4.應(yīng)向乙方無(wú)償提供抽樣檢驗(yàn)的樣品，負(fù)責(zé)把抽取的樣品按乙方規(guī)定的時(shí)間，運(yùn)送到指定的檢驗(yàn)機(jī)構(gòu)。甲方保留回收抽檢產(chǎn)品的權(quán)利。

5.向乙方在甲方現(xiàn)場(chǎng)執(zhí)行認(rèn)證任務(wù)的人員免費(fèi)提供通訊設(shè)施某通工具，辦公設(shè)施某絡(luò)向?qū)Ъ捌渌匾Y源。

6.應(yīng)按期向乙方及檢驗(yàn)機(jī)構(gòu)交付各項(xiàng)認(rèn)證費(fèi)用。

7.除本合同規(guī)定的條款外，甲方不應(yīng)再以任何方式或名義向?qū)徍?抽樣/檢驗(yàn)人員饋贈(zèng)錢，物(包括紀(jì)念品，加班費(fèi)，勞務(wù)費(fèi)等)。一旦發(fā)現(xiàn)，乙方將終止認(rèn)證活動(dòng)并視認(rèn)證結(jié)果無(wú)效。

8.應(yīng)按《認(rèn)證證書和標(biāo)志使用管理辦法》的有關(guān)規(guī)定，正確使用認(rèn)證證書和認(rèn)證標(biāo)志。

9.當(dāng)質(zhì)量體系發(fā)生變更(如法定代表人，組織名稱，地點(diǎn)變更及《質(zhì)量手冊(cè)》更改等)，認(rèn)證證書所涉及內(nèi)容變更，以及發(fā)生重大質(zhì)量問(wèn)題和顧客重大投訴時(shí)，應(yīng)及時(shí)通報(bào)乙方。

10.甲方應(yīng)確保獲證產(chǎn)品在認(rèn)證證書有效期內(nèi)，該型號(hào)規(guī)格產(chǎn)品始終保持產(chǎn)品性能并符合認(rèn)證要求。其使用的關(guān)鍵零部件和材料應(yīng)與乙方最終確認(rèn)的《受控部件/材料備案清單》保持一致，如需變更，應(yīng)及時(shí)向乙方提出申報(bào)，經(jīng)認(rèn)可后，方可變更使用。未提出認(rèn)可申請(qǐng)或經(jīng)檢驗(yàn)評(píng)定未通過(guò)認(rèn)可時(shí)，獲證產(chǎn)品不得使用變更的受控部件和材料。一經(jīng)發(fā)現(xiàn)，乙方將對(duì)該產(chǎn)品認(rèn)證證書做出暫停直至撤銷的決定，并同進(jìn)停止使用認(rèn)證標(biāo)志。

11.甲方因故被暫?；虺蜂N認(rèn)證注冊(cè)資格時(shí)，應(yīng)暫?；蛲Ｖ故褂谜J(rèn)證證書和認(rèn)證標(biāo)志，并向乙方交回全部認(rèn)證文件。

12.隨時(shí)接受中國(guó)認(rèn)證機(jī)構(gòu)國(guó)家認(rèn)可委員會(huì)(cnab)對(duì)甲方的臨時(shí)調(diào)查。

五、乙方的責(zé)任和義務(wù)

5.1格履行國(guó)家產(chǎn)品質(zhì)量認(rèn)證方面的法規(guī)和國(guó)際準(zhǔn)則。

5.2 按照標(biāo)準(zhǔn)和有關(guān)程序，客觀，公正地為甲方提供產(chǎn)品認(rèn)證服務(wù)。

5.3在收到甲方交付的費(fèi)用后，及時(shí)組織實(shí)施某的產(chǎn)品認(rèn)證活動(dòng)。

5.4乙方的審核組成員應(yīng)按有關(guān)規(guī)定配備，并征得甲方同意。

5.5乙方應(yīng)公正，科學(xué)，客觀，實(shí)事求是地提出問(wèn)題和處理問(wèn)題。

5.6乙方應(yīng)合理選用檢驗(yàn)機(jī)構(gòu)。

5.7乙方在做出認(rèn)證評(píng)定結(jié)論后，應(yīng)及時(shí)辦理是否批準(zhǔn)甲方取得和保持認(rèn)證注冊(cè)資格的手續(xù)。

5.8 在公開出版物上公布獲準(zhǔn)注冊(cè)組織的名錄。

六、風(fēng)險(xiǎn)

1.甲方建立的質(zhì)量體系如達(dá)不到/不能保持達(dá)到 ccc/t032002的有關(guān)要求，或產(chǎn)品質(zhì)量不能保持達(dá)到規(guī)定要求，將承擔(dān)不能取得或被撤銷認(rèn)證注冊(cè)資格的風(fēng)險(xiǎn)。

2.乙方要承擔(dān)因甲方獲證后質(zhì)量體系失效，產(chǎn)品質(zhì)量/性能指標(biāo)下降而引起甲方的顧客不滿意被投訴，損害聲譽(yù)乃至被認(rèn)可機(jī)構(gòu)暫停，撤銷產(chǎn)品認(rèn)證，注冊(cè)資格的風(fēng)險(xiǎn)。

七、保密原則

乙方應(yīng)保守甲方技術(shù)，經(jīng)營(yíng)和管理秘密，未經(jīng)甲方書面許可，不得以任何方式泄露給第三方，但下列情況除外：

a.甲方及其關(guān)聯(lián)公司范圍外已公開的文件和資料，但不包括第三方侵權(quán)所獲的文件和資料;

b.法律另有要求時(shí);

c.國(guó)家主管部門要求時(shí)。

注：國(guó)家主管部門指國(guó)家經(jīng)濟(jì)貿(mào)易委員會(huì)，國(guó)家質(zhì)量監(jiān)督檢驗(yàn)檢疫總局，國(guó)家認(rèn)證認(rèn)可監(jiān)督管理委員會(huì)和中國(guó)質(zhì)量認(rèn)證機(jī)構(gòu)國(guó)家認(rèn)可委員會(huì)。

八、爭(zhēng)議處理

在合同履行過(guò)程中發(fā)生爭(zhēng)議，雙方應(yīng)當(dāng)協(xié)商解決，如不能達(dá)成協(xié)議，可以：

a.申請(qǐng)中國(guó)節(jié)能產(chǎn)品認(rèn)證管理委員會(huì)(ccc)仲裁;

b.申請(qǐng)中國(guó)認(rèn)證機(jī)構(gòu)國(guó)家認(rèn)可委員會(huì)(cnab)仲裁;

c.按司法程序解決。

九、違約處理

甲方或乙方因各自的原因不能在合同規(guī)定的期限內(nèi)如期進(jìn)行產(chǎn)品認(rèn)證，責(zé)任方應(yīng)向?qū)Ψ街Ц断喈?dāng)于某同規(guī)定認(rèn)證審核費(fèi)用的5%作為違約金。

甲方或乙方如有違犯合同行為，使另一方遭受損失，則受損失方可要求賠償損失，但賠償金額最多不超過(guò)本合同規(guī)定的認(rèn)證審核費(fèi)用。

二、雙方責(zé)任

2.1乙方責(zé)任：

向乙方提供認(rèn)證所需要的全部資料，為乙方提供必要的工作條件，并積極配合認(rèn)證工作，保證其順利進(jìn)行。提供質(zhì)量手冊(cè)，申請(qǐng)書及附件和至少三個(gè)月的質(zhì)量管理體系運(yùn)行的有效證據(jù)。按時(shí)向乙方交付規(guī)定的費(fèi)用。遵守cccf有關(guān)認(rèn)證證書保持，暫停、撤消和注冊(cè)的要求，在證書有效期內(nèi)，甲方質(zhì)量管理體系，產(chǎn)品變化時(shí)應(yīng)及時(shí)通知乙方，遵守有關(guān)認(rèn)證標(biāo)志使用的要求，接受乙方按國(guó)家有關(guān)規(guī)定進(jìn)行的監(jiān)督審查。

2.3乙方對(duì)甲方的保密承諾：

乙方不得將甲方經(jīng)營(yíng)，生產(chǎn)狀況及技術(shù)資料以任何方式泄露給第三方，但以下情況除外：

2.3.1應(yīng)甲方要求公開的信息;

2.3.2甲方在本單位范圍外已公開的資料;

2.3.3法律另有要求時(shí);

2.3.4國(guó)家主管?部門要求時(shí)。

三、風(fēng)險(xiǎn)

3.1甲方建立的質(zhì)量管理體系和產(chǎn)品質(zhì)量如達(dá)不到或不能保持達(dá)到標(biāo)準(zhǔn)要求和乙方的規(guī)定要求，將承擔(dān)不能取得證書或被撤消認(rèn)證資格的風(fēng)險(xiǎn)。

3.2因甲方獲證后不按認(rèn)證審查過(guò)程的質(zhì)量管理體系運(yùn)行，產(chǎn)品質(zhì)量下降，發(fā)生質(zhì)量事故等造成產(chǎn)品不合格而引起被顧客投訴或產(chǎn)品質(zhì)量監(jiān)督部門查處，乙方不承擔(dān)任何責(zé)任。

3.3對(duì)認(rèn)證過(guò)程中或監(jiān)督審查中甲方因乙方責(zé)任的任何損失，其索賠的賠償費(fèi)將不得超過(guò)甲方的認(rèn)證審查費(fèi)或本次監(jiān)督審查費(fèi);乙方將不承擔(dān)隨后的任何損失賠償。

四、審查時(shí)間

4.1甲方是否同意由乙方按計(jì)劃派遣審查組(乙方一般在收到甲方審查費(fèi)后兩周內(nèi)派遣審查組)是□，否□(不同意乙方計(jì)劃時(shí)，甲方希望正式認(rèn)證審查時(shí)間在_________年_________月_________日至_________年_________月_________日)。

4.2預(yù)審查(甲方?jīng)Q定)：不需要□，需要□;需要時(shí)，預(yù)審時(shí)間在_________年_________月_________日，通常應(yīng)比正式審查時(shí)間提前_________個(gè)月以上;

4.3甲方取得認(rèn)證注冊(cè)資格后，在證書有效期中，乙方對(duì)甲方的常規(guī)監(jiān)督審查一般一年進(jìn)行一次，首次監(jiān)督一般在初審時(shí)間六個(gè)月后進(jìn)行，如有重大異常情況時(shí)，酌情增加監(jiān)督審查頻次。復(fù)評(píng)合格后的年度監(jiān)督審查按每年1次。

五、合同的終止，通知方式，合同份數(shù)

5.1本合同在認(rèn)證證書有效期滿自行終止;

5.2甲方在申請(qǐng)受理后，在現(xiàn)場(chǎng)審查前提出終止合同時(shí)，乙方有權(quán)扣留審查費(fèi)的15%作為乙方文件審查等準(zhǔn)備工作費(fèi)用;

5.3乙方由于非不可抗力的原因而提出終止合同應(yīng)返還所有甲方支付給乙方的費(fèi)用;

5.4在本合同執(zhí)行期間，雙方所有正式信息均應(yīng)用書面形式(包括傳真件)表達(dá);

5.5本合同一式二份，甲方和乙方各執(zhí)一份，自甲方交費(fèi)之日起正式生效;如一年內(nèi)，甲方未能按規(guī)定交費(fèi)，則本合同自行終止。

六、爭(zhēng)議處理

合同履行過(guò)程中發(fā)生爭(zhēng)議。雙方應(yīng)首先協(xié)商解決。如達(dá)不成協(xié)議，可以：

(a)申請(qǐng)北京市技術(shù)合同委員會(huì)仲裁□;

(b)按司法程序解決□。(甲方選擇其一)

七、費(fèi)用

甲方應(yīng)交納的費(fèi)用如下：

7.1獲取證書費(fèi)用：

7.1.1申請(qǐng)費(fèi)：申請(qǐng)單元數(shù)_________×每單元申請(qǐng)費(fèi)_________元=_________元;

7.1.4批準(zhǔn)與注冊(cè)費(fèi)(領(lǐng)證時(shí)交納)：證書單元數(shù)_________×每單元費(fèi)_________元=_________元;

7.1.5審查人員的差旅費(fèi)按實(shí)際支出由甲方支付給乙方。

7.2保持證書費(fèi)用：
